1. Introduction

Welcome to LearnLingo.ai ("we", "our", or "us"), an AI-powered language learning platform operated by LearnLingo.ai Ltd.

These Terms of Service ("Terms") govern your access to and use of the LearnLingo.ai website, mobile applications, and services (collectively, the "Platform"). Our Privacy Policy separately explains how we process personal data.

2. Eligibility

You must be at least 13 years old to use LearnLingo.ai. Under-13 access is not supported. If we learn that an under-13 account has been created, we will restrict it and take appropriate steps under our Privacy Policy.

For direct self-serve access in Ireland, a learner aged 16 or 17 may activate a protected account after completing the required age-band, jurisdiction, privacy and safety steps. A learner aged 13 to 15 needs approval from a verified holder of parental responsibility or equivalent authority. Approval is specific to protected language practice and can be withdrawn.

Partner- or institution-launched access uses the applicable signed arrangement and a current verified age-band and authority attestation. Optional school, cohort or reporting information does not itself grant authority. Minor protections continue to apply even when access is arranged by a partner or institution.

Availability is jurisdiction- and configuration-dependent. If we cannot verify the required authority or current safeguards, access fails closed and the learner remains protected.

3. Account Registration

To access certain features of LearnLingo.ai, you may need to create an account. When registering for an account, you agree to provide accurate, current, and complete information and to keep this information updated.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

Accounts are personal to the registered user (or designated institutional administrator) and may not be shared, transferred, sold, or made available to any other person. Password sharing and account sharing are strictly prohibited.

We use automated and manual abuse-detection systems to identify account sharing, suspicious login patterns, and other misuse. If we detect or reasonably suspect abuse, we may restrict, suspend, or permanently terminate access without prior notice.

We reserve the right to suspend or terminate your account if we suspect that any information you provide is inaccurate, false, or violates these Terms.

3.1 Protected Learner and Guardian Accounts

A guardian may approve or manage a learner's authority without first creating a normal customer account. We may create or reuse a restricted passwordless identity solely for that authority relationship. Guardian authority does not provide learner conversations, learning content, staff, school, partner, administration, billing or payment access by default.

The learner remains the account holder and data subject. A guardian may withdraw the authority they supplied, but access to learner data is assessed separately under the learner's rights, capacity and best interests.

4. Purchases, Subscriptions and Payment

Exam Pass purchases

Exam Pass is a one-off €59 purchase for new individual customers, inclusive of any applicable VAT. It provides 12 months of access from purchase, does not renew automatically, and is not a monthly subscription.

The pass is personal to one learner and applies across supported speaking and exam-practice routes. Its included live-practice allowance, per-session maximum and access expiry are disclosed on the pricing page and in the learner's account.

Exam Pass purchases are subject to our cancellation and refund information. We do not offer a voluntary money-back guarantee. Statutory cancellation, refund, conformity and digital-service rights remain unaffected.

Existing active Premium subscribers keep their current subscription terms unless they choose otherwise. We do not silently cancel, migrate or double-charge an existing subscription.

4.1 Subscription Plans

LearnLingo.ai offers various subscription plans, including a free tier with limited features and premium tiers with enhanced capabilities. The features available in each subscription plan are described on our pricing page.

We reserve the right to modify, terminate, or otherwise amend our offered subscription plans at any time.

4.2 Payment Terms

By subscribing to a premium plan, you agree to pay the applicable fees. All payments are processed through our third-party payment processor, Stripe.

Guardian approval of protected learning access is not a purchase, subscription or payment authorisation. Payment requires a separate action by an authorised adult, institution or other payer. Restricted learners and guardian-only identities cannot use guardian authority to obtain billing access.

Subscription fees are billed in advance on a monthly or annual basis, depending on the subscription plan you select. Unless otherwise stated, our fees are shown in euros (€) for reference, charged in your local currency at checkout where available, and VAT is calculated at checkout based on your billing country.

You authorize us to charge your chosen payment method for the subscription fees. If your payment cannot be processed, we may suspend or terminate your access to premium features.

4.3 Automatic Renewal

Premium subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. By subscribing, you authorize us to charge your payment method for the renewal term at the then-current rate.

4.4 Cancellation

You may cancel your subscription at any time through your account settings or by contacting us at info@learnlingo.ai. If you cancel, you may continue to access premium features until the end of your current billing period. All fees are non-refundable and we do not provide refunds or credits, except where required by law.

Accounts suspended or terminated for password sharing, account sharing, fair-use abuse, automation abuse, or other policy violations are not eligible for refunds, credits, or pro-rated reimbursements.

4.5 School and Institutional Subscriptions

Where school or institutional licenses are purchased, the institution is responsible for:

• ensuring authorized administrators manage learner access and seats,
• ensuring each learner and administrator uses their own individual login credentials and that account sharing, seat sharing, and password sharing do not occur,
• providing accurate account and billing information,
• using the platform in compliance with applicable education and privacy laws.

Institutions can request a signed Data Processing Addendum at /legal/data-processing-addendum.

4.6 Fair Use, Language Switching, and Abuse Prevention

Where Premium features are described as Unlimited*, use remains subject to fair-use and account-integrity controls.

• Maximum practice conversation session length: 15 minutes per session. Speaking exam practice is available for supported tasks and uses each task's configured duration.
• Premium access is licensed for one learner per account.
• Live conversation use may be limited to one active session at a time.
• We may review unusual activity, including suspicious login patterns, simultaneous usage, or other signals of account sharing or misuse.
• No bot/automation use, scripted calling, scraping, call-center style use, or other non-personal usage patterns.
• Language switching policy for exam pathways:
  Most exam pathways permit one international exam language per billing month.
  Leaving Cert pathways permit one international exam language plus Irish in the same billing month.
  Switching between multiple international exam languages in the same billing month may trigger account review, temporary restrictions, or account termination.

Password sharing, seat sharing, and any coordinated or commercial account-sharing arrangements are prohibited. Breaches may result in immediate suspension or permanent bans. Bans issued for these reasons are final and not eligible for refund.

5. User Conduct and Responsibilities

When using LearnLingo.ai, you agree not to:

• Violate any applicable law, regulation, or these Terms
• Use the Platform to transmit any material that is harmful, offensive, or otherwise objectionable
• Impersonate any person or entity or falsely state or misrepresent your affiliation with a person or entity
• Interfere with or disrupt the operation of the Platform or servers or networks connected to the Platform
• Attempt to gain unauthorized access to any part of the Platform, other accounts, or other systems or networks
• Use the Platform for any illegal, harmful, or fraudulent purpose
• Use any robot, spider, or other automated device to access the Platform
• Collect or harvest any personally identifiable information from the Platform
• Share your account credentials with others or allow others to use your account
• Create multiple accounts for abusive purposes

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates these provisions, including removing content, terminating accounts, and reporting violators to law enforcement authorities.

6. Intellectual Property Rights

6.1 Our Intellectual Property

The Platform, including all content, features, and functionality, is owned by LearnLingo.ai Ltd and is protected by copyright, trademark, and other intellectual property laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

6.2 License to Use Our Platform

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Platform for personal, non-commercial purposes. This license does not include the right to:

• Modify, reproduce, or distribute any part of the Platform
• Use any data mining, robots, or similar data gathering methods
• Use the Platform for any commercial purpose
• Access the Platform to build a similar or competitive website or application

6.3 User Content

You retain ownership of any content you create, upload, or share on the Platform ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, distribute, and display such content for the purpose of providing and improving our services.

You represent and warrant that you own or have the necessary rights to your User Content and that it does not violate any third party's intellectual property or other rights.

6.4 AI-Generated Content

Our Platform utilizes artificial intelligence to generate conversations, feedback, and other content. The copyright status of AI-generated content is an evolving legal area. To the extent permissible by law, we claim copyright in the AI-generated content produced through our Platform. However, we grant you a license to use the AI-generated content produced during your sessions for your personal educational purposes.

7. AI Features and Limitations

LearnLingo.ai uses artificial intelligence to provide language learning services, including conversation practice, feedback, and pronunciation assessment. You acknowledge and agree that:

• AI systems are not perfect and may occasionally produce inaccurate, inappropriate, or incomplete responses
• Our AI features provide private, formative practice and are not an official grade, credential or substitute for professional language instruction or assessment
• AI feedback does not decide admission, placement, discipline, eligibility or access to education
• We do not use protected-minor interactions to infer emotion, health, character, honesty, vulnerability or protected traits, or to create voiceprints or advertising audiences
• While we strive for accuracy, we do not guarantee that the content generated by our AI is always correct
• We regularly monitor and update our AI systems to improve accuracy and address issues

A separate child-readable AI notice is shown before protected-minor AI or voice practice. A partner or institution must not repurpose formative outputs for a material learner decision unless a new legal, privacy and AI-system assessment has first been completed and the use has been separately approved.

You agree to use your judgment when utilizing AI-generated content and to report any inappropriate or inaccurate content to us at info@learnlingo.ai.

7.1 Prohibited Interactions with AI Agents

When interacting with our AI language tutors and agents, you must not:

• Use abusive, profane, threatening, or harassing language
• Attempt to manipulate the AI to generate inappropriate, offensive, or harmful content
• Use the AI for purposes other than language learning (e.g., attempting to generate code, create essays, or produce content for other purposes)
• Attempt to extract personal information or learn about the AI's underlying technology or training
• Deliberately overload or stress-test the AI systems
• Share or publish AI conversations in a way that misrepresents the AI or our service
• Use the AI to develop competing products or services

We actively monitor AI interactions and reserve the right to terminate access for users who engage in prohibited behavior. We may also use automated systems to detect and prevent abuse of our AI agents.

8. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

We do not warrant that the Platform will be uninterrupted or error-free, that defects will be corrected, or that the Platform is free of viruses or other harmful components.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LEARNLINGO.AI LTD, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE PLATFORM
• ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE PLATFORM
• ANY CONTENT OBTAINED FROM THE PLATFORM
• UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT

OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW. IN JURISDICTIONS WHERE EXCLUSIONS OR LIMITATIONS OF LIABILITY ARE ALLOWED, OUR LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM YOUR USE OF THE PLATFORM, REGARDLESS OF THE CAUSE OF ACTION, WILL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE PAST 12 MONTHS.

NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE OUR LIABILITY FOR:

• DEATH OR PERSONAL INJURY RESULTING FROM OUR NEGLIGENCE
• FRAUD OR FRAUDULENT MISREPRESENTATION
• ANY OTHER LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED BY IRISH LAW

10. Indemnification

You agree to defend, indemnify, and hold harmless LearnLingo.ai Ltd, its directors, employees, partners, agents, suppliers, and affiliates from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Platform.

11. Third-Party Links and Services

The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by LearnLingo.ai Ltd. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that LearnLingo.ai Ltd shall not be responsible or liable for any damage or loss caused by or in connection with the use of any third-party content, goods, or services.

12. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Platform will immediately cease. If you wish to terminate your account, you may simply discontinue using the Platform or contact us to request account deletion.

All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Ireland, without regard to its conflict of law provisions.

If you are a consumer residing in the European Union, these Terms shall be governed by the laws of your country of residence to the extent required by applicable consumer protection laws.

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved as follows:

• We encourage you to contact us first to try to resolve the issue amicably.
• If the dispute cannot be resolved through informal means, it shall be referred to mediation in accordance with the rules of the International Chamber of Commerce (ICC).
• If the dispute is not resolved through mediation within 60 days, it shall be submitted to binding arbitration in accordance with the rules of the ICC.
• The language of the arbitration shall be English.
• If you are a consumer, you may also have the right to bring a claim before the courts of your country of residence.

14. Changes to These Terms

We reserve the right to modify or replace these Terms at any time. The most current version will always be posted on the Platform. We will provide notice of any material changes through the Platform or via email.

Your continued use of the Platform after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Platform.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and LearnLingo.ai regarding the Platform and supersede any prior agreements.
